Terms of Service

These Terms of Service govern your access to and use of DraftToQuote, a business-to-business software service operated by Muhammed Mustafa Günaytekin, Germany.
By creating an account, using the service, or purchasing a subscription, you agree to these Terms.
If you do not agree to these Terms, you must not use DraftToQuote.
1. Provider
DraftToQuote is provided by:

2. Business users only
DraftToQuote is intended only for business users, including freelancers, consultants, studios, agencies, companies, and other professional users.
By using DraftToQuote, creating an account, or purchasing a subscription, you confirm that you are acting for business or professional purposes and not as a consumer.
3. Service description
DraftToQuote helps business users create editable quote drafts from client briefs.
The service may include:
- brief input
- AI-assisted quote generation
- editable quote documents
- quote sections and line items
- public quote links
- PDF generation
- quote email sending
- user preferences and brand settings
- subscription billing
The exact features may change over time.
4. No professional advice
DraftToQuote is a productivity tool.
DraftToQuote does not provide:
- legal advice
- tax advice
- financial advice
- architectural advice
- engineering advice
- pricing advice
- professional consulting advice
You are responsible for reviewing all generated content and deciding whether it is appropriate for your business, project, client, jurisdiction, and professional obligations.
5. AI-generated content
DraftToQuote may use AI systems to generate quote drafts and related text.
AI-generated content may be:
- incomplete
- inaccurate
- unsuitable
- outdated
- misleading
- inconsistent
- inappropriate for a specific client or project
You must review, edit, and approve all generated output before using it.
You are solely responsible for any quote, proposal, message, PDF, or other document that you send to a client.
6. User content and client data
You are responsible for all data, briefs, client information, text, logos, prices, notes, and other content you enter into DraftToQuote.
You confirm that you have the necessary rights, permissions, and legal basis to upload, process, and use such content.
You must not upload:
- unlawful content
- content you are not allowed to process
- unnecessary sensitive personal data
- confidential third-party information without permission
- trade secrets you are not authorized to use
- discriminatory, deceptive, fraudulent, or harmful content
- malware or harmful code
7. No client payment or deposit handling
DraftToQuote does not collect deposits, escrow payments, client payments, or project funds on behalf of users.
Any payment relationship between you and your client is outside DraftToQuote.
You are solely responsible for:
- your own invoices
- client payment instructions
- tax treatment
- payment collection
- refunds to your clients
- disputes with your clients
- project delivery
- client contracts
DraftToQuote is not a marketplace, payment intermediary, escrow service, or payment collection agent for your client work.
8. Account registration
You may need to create an account to use the service.
You must provide accurate account information and keep your login credentials secure.
You are responsible for all activity under your account.

9. Subscriptions and billing
Paid plans are billed through Stripe or another payment provider.
By purchasing a paid plan, you authorize the payment provider to charge the applicable subscription fees according to the selected billing interval.
Available plans, prices, features, and billing intervals are shown on the pricing or checkout page.
We may change prices or plan features in the future. Price changes will not affect an already paid billing period.
10. Kleinunternehmer status and taxes
DraftToQuote is currently operated under the German small business regulation / Kleinunternehmerregelung according to § 19 UStG.
No VAT is charged or shown separately where this regulation applies.
You are responsible for determining your own tax obligations in your country, state, or jurisdiction.
11. Cancellation
You may cancel your subscription through your account settings, billing portal, or by contacting us at:

Unless otherwise stated, cancellation stops future renewal. Access to paid features may continue until the end of the already paid billing period.
12. Refunds
Fees for already paid subscription periods are generally non-refundable, unless required by mandatory law or explicitly agreed otherwise.

13. Availability and changes to the service
We aim to keep DraftToQuote available and reliable, but we do not guarantee uninterrupted or error-free operation.
The service may be temporarily unavailable due to:
- maintenance
- updates
- security issues
- provider outages
- network problems
- force majeure events
- technical failures
We may change, improve, suspend, or discontinue parts of the service.
14. Acceptable use
You must not use DraftToQuote to:
- break the law
- infringe third-party rights
- send spam
- create fraudulent or deceptive documents
- generate unlawful, discriminatory, or harmful content
- attack, disrupt, or overload the service
- reverse engineer or scrape the service
- bypass access controls
- attempt unauthorized access
- misuse public quote links
- upload malware or harmful code
- violate sanctions or export control laws
We may suspend or terminate accounts that violate these Terms.
15. Intellectual property
The software, design, branding, user interface, templates, workflows, and underlying technology of DraftToQuote belong to us or our licensors.
You retain rights to the business content, briefs, client data, logos, and quote content you upload or create through the service.
To the extent permitted by law, you may use generated quote outputs for your own business purposes.
16. Feedback
If you provide feedback, suggestions, or improvement ideas, we may use them to improve the service without owing compensation or attribution.
17. Third-party services
DraftToQuote depends on third-party services, including hosting, database, payment, email, authentication, and AI providers.
These may include Vercel, Supabase, Stripe, Resend, OpenAI, and Google.
We are not responsible for third-party services outside our reasonable control.
Your use of third-party payment, authentication, or AI-related services may also be subject to their own terms and policies.
18. Data protection
Information about how we process personal data is available in our Privacy Policy.
If DraftToQuote processes personal data on behalf of a business user, DraftToQuote may act as a processor under Art. 28 GDPR. Business users who require a data processing agreement may contact us at:

19. Liability
We are liable without limitation for intent and gross negligence, and for injury to life, body, or health according to applicable law.
For slight negligence, we are liable only for breach of essential contractual obligations. Essential contractual obligations are obligations whose fulfilment makes proper performance of the contract possible and on whose compliance the contracting party may regularly rely.
In such cases, liability is limited to typical and foreseeable damages.
Any mandatory statutory liability remains unaffected.
We are not liable for:
- your business decisions
- your pricing decisions
- your client contracts
- AI-generated inaccuracies that you fail to review
- loss caused by incorrect user input
- disputes between you and your clients
- third-party service outages outside our reasonable control
20. Termination
You may stop using the service at any time.
We may suspend or terminate access if:
- you violate these Terms
- payment fails
- your use creates legal, security, or operational risk
- we are required to do so by law
- continued provision of the service is unreasonable
21. Data deletion
You may request deletion of your account or data by contacting:

Some data may need to be retained where legally required, for example for accounting, tax, security, or legal reasons.
22. Dispute resolution
We are not willing or obliged to participate in dispute resolution proceedings before a consumer arbitration board.
DraftToQuote is intended for business users only.
23. Governing law and jurisdiction
These Terms are governed by the laws of Germany.
If you are a merchant, legal entity under public law, special fund under public law, or business user without a general place of jurisdiction in Germany, the courts responsible for our business location in Germany shall have jurisdiction where legally permitted.
Mandatory legal protections that cannot be excluded remain unaffected.
24. Changes to these Terms
We may update these Terms from time to time.
The current version will be available on this page.
If changes are material, we may notify users by email, in-app notice, or another appropriate method.
Continued use of the service after changes become effective means acceptance of the updated Terms, where legally permitted.
